Terms of Service

1. Acceptance of terms

By creating an account, booking a demo, or otherwise using the Excela platform or website, you agree to be bound by these terms. If you are entering into these terms on behalf of an institute, you represent that you have authority to do so.

2. The service

Excela is a software platform that helps coaching institutes manage admissions, attendance, fees, testing, doubt resolution, parent communication and analytics. We may add, modify or discontinue features to improve the service.

3. Accounts and access

Account credentials are provided to your institute after your details are confirmed. You are responsible for keeping credentials secure, for all activity under your account, and for configuring role-based access appropriately for your staff and users.

4. Acceptable use

You agree not to misuse the service. In particular, you will not:

• Upload unlawful content or data you do not have the right to use.
• Attempt to gain unauthorised access to the platform or other users' data.
• Interfere with or disrupt the integrity or performance of the service.
• Use the service to violate any applicable law or the rights of others.

5. Customer data and ownership

Data your institute enters into the platform ("Customer Data") remains owned by your institute. You grant us a limited licence to host and process Customer Data solely to provide and improve the service. We will not sell Customer Data. You may export your data as described in our Data & Security page.

6. AI-assisted features

Some features use artificial intelligence to generate tests, assist grading, resolve doubts and flag at-risk students. These outputs are provided as decision-support and may contain errors or inaccuracies. You are responsible for reviewing AI-generated outputs before relying on them for academic, financial or other important decisions.

7. Fees and billing

Paid plans are billed as described at the time of purchase or in your order. Fees are exclusive of applicable taxes unless stated otherwise. Unless required by law, fees are non-refundable. We may update pricing with reasonable prior notice.

8. Intellectual property

The Excela platform, website, software, and associated trademarks and content are owned by Excela EduTech Private Limited or its licensors. These terms do not grant you any rights in our intellectual property except the limited right to use the service.

9. Disclaimers

The service is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Excela EduTech Private Limited will not be liable for indirect, incidental, special or consequential damages, or for loss of profits or data, arising from your use of the service. Our aggregate liability is limited to the amounts paid by you for the service in the twelve months preceding the claim.

11. Term and termination

These terms apply while you use the service. You may stop using the service at any time. We may suspend or terminate access for breach of these terms or where required by law. On termination, you may export your Customer Data within a reasonable period.

12. Governing law

These terms are governed by the laws of India, and the courts having jurisdiction over the location of our registered office will have exclusive jurisdiction over any disputes, subject to applicable law.
